Jurisdiction — Forum selection clause – Non-signatory

Where a plaintiff has filed a complaint based on a factoring agreement, the complaint should be dismissed for lack of personal jurisdiction because (1) the defendant was never a party to the agreement and thus is not bound by the agreement’s forum selection clause and (2) exercising personal jurisdiction over the defendant would violate due process.
